Price <\/span><\/b><b><span lang=\"ZH-CN\">\u4ef7\u683c<\/span><\/b><b><span lang=\"ZH-CN\"> <\/span><\/b><b><span lang=\"EN-SG\"><\/span><\/b><\/p><p><span lang=\"EN-US\">2.1 For China customers, the price is the price including 13% value-added tax invoice<\/span><\/p><p><span lang=\"EN-US\">2.2 If the exchange rate is involved, the exchange rate on the day of signing the contract shall prevail (unless otherwise agreed in the contract)<\/span><\/p><p><span lang=\"EN-US\">2.3 Prices quoted have a validity period of 12 weeks (unless otherwise agreed in the contract).<\/span><\/p><p><span lang=\"EN-US\">2.4 The price quoted excludes delivery \u2013 ex works Tianjin (unless otherwise agreed in the contract)<\/span><\/p><p><span lang=\"EN-US\">2.5 Rates of duties and taxes on the goods will be those applying at the time of delivery.<\/span><\/p><p><span lang=\"EN-US\">2.1 <\/span><span lang=\"ZH-CN\">\u672c\u4ef7\u683c\u4e3a\u5305\u542b<\/span><span lang=\"EN-US\">13% <\/span><span lang=\"ZH-CN\">\u589e\u503c\u7a0e\u53d1\u7968\u7684\u4ef7\u683c\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">2.2<\/span><span lang=\"ZH-CN\">\u5982\u679c\u6d89\u53ca\u6c47\u7387\uff0c\u4ee5\u7b7e\u5b9a\u5408\u540c\u5f53\u5929\u7684\u6c47\u7387\u4e3a\u4e3b\uff08\u9664\u975e\u53e6\u6709\u5408\u540c\u7ea6\u5b9a\uff09<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">2.3<\/span><span lang=\"ZH-CN\">\u5982\u679c\u662f\u62a5\u4ef7\uff0c\u5219\u6709\u6548\u671f\u4e3a\uff1a<\/span><span lang=\"EN-US\">12<\/span><span lang=\"ZH-CN\">\u5468\uff08\u9664\u975e\u53e6\u6709\u5408\u540c\u7ea6\u5b9a\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">2.4<\/span><span lang=\"ZH-CN\">\u4ef7\u683c\u4e3a\u4e2d\u56fd\u51fa\u5e93\u4ef7\u683c\uff08\u9664\u975e\u53e6\u6709\u5408\u540c\u7ea6\u5b9a\uff09<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">2.5 <\/span><span lang=\"ZH-CN\">\u5546\u54c1\u6d89\u53ca\u5230\u7684\u5173\u7a0e\u548c\u7a0e\u91d1\u4ee5\u4ea4\u8d27\u65f6\u7684\u653f\u7b56\u4e3a\u51c6\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">\u00a0<\/span><\/p><p><b><span lang=\"EN-US\">3.<\/span><\/b><b><span lang=\"EN-US\"> Delivery time <\/span><\/b><b><span lang=\"ZH-CN\">\u4ea4\u8d27\u65f6\u95f4<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p><span lang=\"EN-US\">3.1 The delivery time of all quotations is only an estimated delivery time.<\/span><\/p><p><span lang=\"EN-US\">3.2 If within the time limit agreed by both parties, it is our responsibility to fail to deliver the goods, the buyer can apply for cancellation of the contract in writing by email,<\/span><\/p><p><span lang=\"EN-US\">but:<\/span><\/p><p><span lang=\"EN-US\">3.2.1 If we receive your notice after the goods are shipped, you must not cancel the contract; and<\/span><\/p><p><span lang=\"EN-US\">3.2.2 If you cancel the contract, you can no longer file a claim against us under the contract.<\/span><\/p><p><span lang=\"EN-US\">3.3 If you accept the delivery after the estimated delivery date, you will not be able to claim against us for the delay (including indirect or consequential loss, or increase in the price of the goods).<\/span><\/p><p><span lang=\"EN-US\">3.4 It is allowed to deliver the goods in instalments, and each instalment is treated as a separate contract.<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">3.1<\/span><span lang=\"ZH-CN\">\u6240\u6709\u62a5\u4ef7\u7684\u4ea4\u8d27\u65f6\u95f4\u4ec5\u4e3a\u9884\u4f30\u4ea4\u8d27\u65f6\u95f4\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">3.2<\/span><span lang=\"ZH-CN\">\u5982\u679c\u5728\u53cc\u65b9\u7ea6\u5b9a\u671f\u9650\u5185<\/span><span lang=\"EN-US\">,<\/span><span lang=\"ZH-CN\">\u5c5e\u4e8e\u6211\u65b9\u8d23\u4efb\u672a\u80fd\u4ea4\u8d27<\/span><span lang=\"EN-US\">,<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u53ef\u4e66\u9762\u7533\u8bf7\u53d6\u6d88\u5408\u540c\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"ZH-CN\">\u4f46\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">3.2.1<\/span><span lang=\"ZH-CN\">\u5982\u679c\u6211\u65b9\u5728\u8d27\u7269\u53d1\u8fd0\u540e\u6536\u5230\u8d35\u65b9\u7684\u53d6\u6d88\u901a\u77e5\uff0c\u8d35\u65b9\u4e0d\u5f97\u53d6\u6d88\u5408\u540c<\/span><span lang=\"EN-US\">; <\/span><\/p><p><span lang=\"ZH-CN\">\u800c\u4e14<\/span><span lang=\"EN-US\">:<\/span><\/p><p><span lang=\"EN-US\">3.2.2<\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u53d6\u6d88\u5408\u540c\uff0c\u8d35\u65b9\u4e0d\u80fd\u518d\u6839\u636e\u8be5\u5408\u540c\u5411\u6211\u65b9\u63d0\u51fa\u7d22\u8d54\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">3.3<\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u5728\u9884\u8ba1\u4ea4\u8d27\u671f\u540e\u63a5\u53d7\u4e86\u8d27\u7269\uff0c\u5219\u8d35\u65b9\u4e0d\u80fd\u5c31\u5ef6\u8bef\u5411\u6211\u65b9\u63d0\u51fa\u7d22\u8d54\uff08\u5305\u62ec\u76f4\u63a5\u6216\u95f4\u63a5\u635f\u5931\uff0c\u6216\u8d27\u7269\u4ef7\u683c\u4e0a\u6da8\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">3.4<\/span><span lang=\"ZH-CN\">\u5141\u8bb8\u53ef\u4ee5\u5206\u6279\u5206\u671f\u4ea4\u8d27\uff0c\u6bcf\u7b14\u5206\u671f\u4ea4\u8d27\u5747\u4f5c\u4e3a\u5355\u72ec\u7684\u5408\u540c\u5904\u7406\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">\u00a0<\/span><span lang=\"EN-US\">\u00a0<\/span><\/p><p><b><span lang=\"EN-US\">4.<\/span><\/b><b><span lang=\"EN-US\"> Delivery and safety <\/span><\/b><b><span lang=\"ZH-CN\">\u4ea4\u8d27\u548c\u5b89\u5168<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p align=\"left\"><span lang=\"EN-US\">4.1 We may refuse delivery if the following situations occur:<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">4.1.1 We believe that it would be unsafe, illegal or unreasonable difficult to do so<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">4.1.2 the premises (or access to them) are unsuitable for our vehicle.<\/span><span lang=\"EN-US\">\u00a0<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">4.1<\/span><span lang=\"ZH-CN\">\u5982\u679c\u51fa\u73b0\u4ee5\u4e0b\u60c5\u51b5\uff0c\u6211\u65b9\u53ef\u80fd\u4f1a\u62d2\u7edd\u4ea4\u8d27\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p align=\"left\"><span lang=\"EN-US\">4.1.1<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u8ba4\u4e3a\u8fd9\u6837\u505a\u662f\u4e0d\u5b89\u5168\u3001\u975e\u6cd5\u6216\u6709\u4e0d\u5408\u5e38\u7406\u7684\u56f0\u96be\u60c5\u51b5\uff1b <\/span><span lang=\"EN-US\"><\/span><\/p><p align=\"left\"><span lang=\"EN-US\">4.1.2 <\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u73b0\u573a\u53ef\u80fd\u4f7f\u5f97\u6211\u65b9\u4ea4\u8d27\u8f66\u8f86\u65e0\u6cd5\u64cd\u4f5c\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p align=\"left\"><\/p><p align=\"left\"><b><span lang=\"EN-US\">5. Payment terms<\/span><\/b><b><span lang=\"ZH-CN\">\u4ed8\u6b3e\u6761\u7ea6<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p><span lang=\"EN-US\">5.1 Unless you have an approved credit account or contract agreement with us, payment must be made before goods are dispatched.<\/span><\/p><p><span lang=\"EN-US\">5.2,\u00a0If you fail to pay in full on the due date:\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0<\/span><\/p><p><span lang=\"EN-US\">5.2.1 The credit limit may be reduced or cancelled at any time.<\/span><\/p><p><span lang=\"EN-US\">5.2.2 We can suspend or cancel future deliveries;<\/span><\/p><p><span lang=\"EN-US\">5.2.3 We can cancel any discounts and services provided to you;<\/span><\/p><p><span lang=\"EN-US\">5.2.4 If the delay in payment causes loss of our company&#8217;s goods and funds, you must pay our losses in accordance with the Chinese Contract Law and the contract between the parties.<\/span><\/p><p><span lang=\"EN-US\">a. Calculated from the date of our invoice (calculated on a daily basis) until payment;<\/span><\/p><p><span lang=\"EN-US\">b. Interest is compounded on the first day of each calendar month; and<\/span><\/p><p><span lang=\"EN-US\">c. Before and after any judgment (unless the court orders otherwise).<\/span><\/p><p><span lang=\"EN-US\">5.3 If you have our credit limit account, we will have the right to cancel the account or reduce the credit limit, or advance the payment due date based on your reputation.<\/span><\/p><p><span lang=\"EN-US\">5.4 We may take any action in 5.4 at any time without notice.<\/span><\/p><p><span lang=\"EN-US\">5.5 You have no right to offset any money you owe us with any money you may claim from us.<\/span><\/p><p><span lang=\"EN-US\">5.6 When you owe us money, we have the right to keep any of your property until you pay it in full (a lien).<\/span><\/p><p><span lang=\"EN-US\">5.7 You shall indemnify us in full and protect us from all costs and liabilities (directly or indirectly, including legal expenses for full compensation) arising from your breach of any obligations under the terms of this contract.<\/span><\/p><p><span lang=\"EN-US\">5.1<\/span><span lang=\"ZH-CN\">\u9664\u975e\u8d35\u65b9\u6709\u7ecf\u53cc\u65b9\u7b7e\u8ba2\u7684\u4ed8\u6b3e\u5408\u7ea6\u548c\u4fe1\u7528\u989d\u5ea6\uff0c\u5219\u8d27\u7269\u7684\u51fa\u5e93\u4ee5\u8d27\u6b3e\u5230\u8d26\u4e3a\u539f\u5219\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.2 <\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u8fdd\u53cd\u4e86\u53cc\u65b9\u7b7e\u8ba2\u7684\u5408\u7ea6\u7684\u4ed8\u6b3e\u5230\u671f\u65e5\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.2.1 <\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u7684\u4fe1\u7528\u989d\u5ea6\u4f1a\u88ab\u51cf\u5c11\u6216\u8005\u53d6\u6d88\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.2.2 <\/span><span lang=\"ZH-CN\">\u6211\u65b9\u53ef\u80fd\u4f1a\u6682\u505c\u53d1\u8d27\u6216\u53d6\u6d88\u672a\u6765\u7684\u53d1\u8d27\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.2.3 <\/span><span lang=\"ZH-CN\">\u6211\u65b9\u53ef\u53d6\u6d88\u63d0\u4f9b\u7ed9\u8d35\u65b9\u7684\u4ef7\u683c\u4f18\u60e0\u7b49\u6761\u4ef6\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.2.4<\/span><span lang=\"ZH-CN\">\u5982\u679c\u63a8\u8fdf\u4ed8\u6b3e\u9020\u6210\u6211\u65b9\u8d27\u7269\u548c\u8d44\u91d1\u635f\u5931\uff0c\u8d35\u65b9\u5fc5\u987b\u6309\u7167\u4e2d\u56fd\u5408\u540c\u6cd5\u548c\u53cc\u65b9\u7684\u5408\u540c\u7ea6\u5b9a\u652f\u4ed8\u6211\u65b9\u635f\u5931\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">a. <\/span><span lang=\"ZH-CN\">\u635f\u5931\u8ba1\u7b97\u65e5\u671f\u4ece\u6211\u65b9\u7684\u53d1\u7968\u65e5\u8ba1\u8d77\uff08\u4ee5\u65e5\u8ba1\u7b97\uff09\u76f4\u5230\u4ed8\u6b3e\u5230\u8d26\u4e3a\u6b62\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">b. <\/span><span lang=\"ZH-CN\">\u5728\u6bcf\u4e2a\u65e5\u5386\u6708\u7684\u7b2c\u4e00\u5929\u590d\u5229\uff1b\u4ee5\u53ca<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">c. <\/span><span lang=\"ZH-CN\">\u5728\u4efb\u4f55\u5224\u51b3\u4e4b\u524d\u548c\u4e4b\u540e\uff08\u9664\u975e\u6cd5\u9662\u53e6\u6709<\/span><span lang=\"ZH-CN\">\u51b3\u65ad\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.3 <\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u62e5\u6709\u6211\u4eec\u7684\u4fe1\u7528\u989d\u5ea6\u8d26\u6237\uff0c\u6211\u4eec\u4f1a\u6839\u636e\u8d35\u65b9\u7684\u4fe1\u8a89\u95ee\u9898\u6709\u6743\u64a4\u9500\u8be5\u8d26\u6237\u6216\u964d\u4f4e\u4fe1\u7528\u989d\u5ea6\uff0c\u6216\u8981\u6c42\u8d35\u65b9\u63d0\u524d\u4ed8\u6b3e\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.4<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u53ef\u968f\u65f6\u91c7\u53d6<\/span><span lang=\"EN-US\">5.3<\/span><span lang=\"ZH-CN\">\u4e2d\u7684\u4efb\u4f55\u884c\u52a8\uff0c\u4e0d\u53e6\u884c\u901a\u77e5\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.5<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u65e0\u6743\u7528\u8d35\u65b9\u7684\u5e94\u4ed8\u8d27\u6b3e\u62b5\u6263\u4efb\u4f55\u53ef\u80fd\u5411\u6211\u65b9\u7d22\u8d54\u7684\u4efb\u4f55\u6b3e\u9879\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.6<\/span><span lang=\"ZH-CN\">\u5f53\u8d35\u65b9\u6b20\u6211\u65b9\u8d27\u6b3e\u65f6\uff0c\u6211\u65b9\u6709\u6743\u4fdd\u7559\u8d35\u65b9\u7684\u4efb\u4f55\u8d22\u4ea7\uff0c\u76f4\u5230\u8d35\u65b9\u5168\u989d\u4ed8\u6e05\u8d27\u6b3e\u4e3a\u6b62\uff08\u7559\u7f6e\u6743\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">5.7<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u5e94\u5168\u989d\u8d54\u507f\u6211\u65b9\uff0c\u5e76\u4f7f\u6211\u65b9\u514d\u53d7\u56e0\u8d35\u65b9\u8fdd\u53cd\u672c\u5408\u540c\u6761\u6b3e\u9879\u4e0b\u4efb\u4f55\u4e49\u52a1\u800c\u4ea7\u751f\u7684\u6240\u6709\u8d39\u7528\u548c\u8d23\u4efb\uff08\u76f4\u63a5\u6216\u95f4\u63a5\uff0c\u5305\u62ec\u5168\u989d\u8d54\u507f\u7684\u6cd5\u5f8b\u8d39\u7528\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p align=\"left\"><\/p><p align=\"left\"><b><span lang=\"EN-US\">6. Title <\/span><\/b><b><span lang=\"ZH-CN\">\u8d27\u6743<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p><span lang=\"EN-US\">6.1 Before you repay all debts you may owe us:<\/span><\/p><p><span lang=\"EN-US\">6.1.1 All goods provided by us are our property;<\/span><\/p><p><span lang=\"EN-US\">6.1.2 You must store our company&#8217;s goods in good condition in order to clearly identify them as our property;<\/span><\/p><p><span lang=\"EN-US\">6.1.3 You must insure our goods (against the risk for which a prudent owner would insure them) and hold an insurance policy in trust for us;<\/span><\/p><p><span lang=\"EN-US\">6.1.4 You can use and sell these goods in the normal business process, but not under the following circumstances:<\/span><\/p><p><span lang=\"EN-US\">a. We revoke the right (by written notice); or<\/span><\/p><p><span lang=\"EN-US\">b. You become insolvent<\/span><\/p><p><span lang=\"EN-US\">6.2 If your company files for bankruptcy, you must notify us immediately (in writing by email).<\/span><\/p><p><span lang=\"EN-US\">6.3 If your right to use and sell goods ends, you must allow us to remove our goods.<\/span><\/p><p><span lang=\"EN-US\">6.4 We are allowed to enter any place where our company\u2019s goods are stored:<\/span><\/p><p><span lang=\"EN-US\">6.4.1 Check at any time; and<\/span><\/p><p><span lang=\"EN-US\">6.4.2 After your right to use and sell them has ended, remove them and use reasonable coercive means when necessary.<\/span><\/p><p><span lang=\"EN-US\">6.5 Although we retain the ownership of the goods, if you fail to pay us before the due date, we have the right to take legal procedures to recover the payment for the goods supplied.<\/span><\/p><p><span lang=\"EN-US\">6.6 You are not authorized to sign any contract on our behalf or in our name.<\/span><\/p><p><span lang=\"EN-US\">6.1<\/span><span lang=\"ZH-CN\">\u5728\u8d35\u65b9\u672a\u507f\u8fd8\u6240\u6b20\u6211\u65b9\u7684\u6240\u6709\u503a\u52a1\u4e4b\u524d\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.1.1<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u63d0\u4f9b\u7684\u6240\u6709\u8d27\u7269\u5747\u4e3a\u6211\u65b9\u8d22\u4ea7\uff08\u8d27\u6743\uff09\uff1b<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.1.2<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u5fc5\u987b\u5c06\u6211\u65b9\u8d27\u7269\u50a8\u5b58\u5b8c\u597d\uff0c\u5e76\u6e05\u695a\u5730\u8bc6\u522b\u5176\u4e3a\u6211\u65b9\u7684\u8d22\u4ea7\uff1b<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.1.3<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u5fc5\u987b\u4e3a\u8d27\u7269\u6295\u4fdd\uff08\u9488\u5bf9\u76f8\u5173\u7684\u4ea7\u751f\u7684\u98ce\u9669\uff09\uff0c\u5e76\u4ee5\u6211\u65b9\u4e3a\u53d7\u76ca\u4eba\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.1.4<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u53ef\u4ee5\u5728\u6b63\u5e38\u4f7f\u7528\u6216\u9500\u552e\u8fd9\u4e9b\u8d27\u7269\uff0c\u9664\u975e\u4ee5\u4e0b\u60c5\u51b5\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">a<\/span><span lang=\"ZH-CN\">\u3001 \u6211\u65b9\u64a4\u9500\u8d35\u65b9\u7684\u8d27\u6743\uff08\u901a\u8fc7\u4e66\u9762\u901a\u77e5\uff09\uff1b\u6216<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">b<\/span><span lang=\"ZH-CN\">\u3001 \u8d35\u65b9\u65e0\u529b\u507f\u8fd8\u503a\u52a1\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.2<\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u7533\u8bf7\u7834\u4ea7\uff0c\u5fc5\u987b\u7acb\u5373\uff08\u4ee5\u4e66\u9762\u5f62\u5f0f\uff09\u901a\u77e5\u6211\u65b9\u3002<\/span><span lang=\"EN-US\">\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <\/span><\/p><p><span lang=\"EN-US\">6.3<\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u4f7f\u7528\u548c\u9500\u552e\u8d27\u7269\u7684\u6743\u5229\u5df2\u7ecf\u7ec8\u6b62\uff0c\u8d35\u65b9\u5fc5\u987b\u5141\u8bb8\u6211\u4eec\u79fb\u51fa\u6211\u4eec\u7684\u8d27\u7269\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.4<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u88ab\u5141\u8bb8\u53ef\u4ee5\u8fdb\u5165\u4efb\u4f55\u5b58\u653e\u6211\u65b9\u8d27\u7269\u7684\u573a\u6240\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.4.1<\/span><span lang=\"ZH-CN\">\u968f\u65f6\u68c0\u67e5\uff1b\u4ee5\u53ca<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.4.2<\/span><span lang=\"ZH-CN\">\u5728\u8d35\u65b9\u4f7f\u7528\u548c\u51fa\u552e\u4e4b\u6743\u5229\u7ed3\u675f\u540e\uff0c\u6211\u65b9\u53ef\u79fb\u51fa\u8d27\u7269\u5fc5\u8981\u65f6\u4f7f\u7528\u5408\u6cd5\u5f3a\u5236\u624b\u6bb5\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">6.5<\/span><span lang=\"ZH-CN\">\u5c3d\u7ba1\u6211\u65b9\u4fdd\u7559\u5bf9\u8d27\u7269\u7684\u6240\u6709\u6743\uff0c\u4f46\u5982\u679c\u8d35\u65b9\u672a\u80fd\u5728\u5230\u671f\u65e5\u524d\u5411\u6211\u65b9\u4ed8\u6b3e\uff0c\u6211\u65b9\u6709\u6743\u91c7\u53d6\u6cd5\u5f8b\u7a0b\u5e8f\u6536\u56de\u6240\u4f9b\u8d27\u7269\u7684\u8d27\u6b3e\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p align=\"left\"><span lang=\"EN-US\">6.6<\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u65e0\u6743\u4ee3\u8868\u6211\u65b9\u6216\u4ee5\u6211\u65b9\u540d\u4e49\u7b7e\u8ba2\u4efb\u4f55\u5408\u540c\u3002<\/span><b><span lang=\"EN-US\"><\/span><\/b><\/p><p align=\"left\"><b><span lang=\"EN-US\">\u00a0<\/span><\/b><\/p><p align=\"left\"><b><span lang=\"EN-US\">7. Risks<\/span><\/b><b><span lang=\"ZH-CN\">\u98ce\u9669<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p><span lang=\"EN-US\">7.1 The goods are at your risk from the date of delivery.<\/span><\/p><p><span lang=\"EN-US\">7.2 Delivery occurs at:<\/span><\/p><p><span lang=\"EN-US\">7.2.1 on our premises (if you are collecting or arranging transportation); or<\/span><\/p><p><span lang=\"EN-US\">7.2.2 At your company (if we arrange transportation).<\/span><\/p><p><span lang=\"EN-US\">7.3\u00a0You must inspect the goods on delivery. If the goods are damaged (or the carrier has not delivered them), you must write by email to us within three working days after delivery (or the estimated delivery time). You must give us (and any carrier) a fair chance to inspect the damaged goods.<\/span><\/p><p><span lang=\"EN-US\">7.1<\/span><span lang=\"ZH-CN\">\u8d27\u7269\u81ea\u5230\u8d27\u4e4b\u65e5\u8d77\u7531\u8d35\u65b9\u627f\u62c5\u98ce\u9669\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">7.2<\/span><span lang=\"ZH-CN\">\u4ea4\u4ed8\u53d1\u751f\u5728\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">7.2.1<\/span><span lang=\"ZH-CN\">\u5728\u6211\u65b9\u573a\u6240\uff08\u5982\u679c\u8d35\u65b9\u53d6\u8d27\u6216\u5b89\u6392\u8fd0\u8f93\uff09\uff1b\u6216<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">7.2.2<\/span><span lang=\"ZH-CN\">\u5728\u8d35\u516c\u53f8\uff08\u5982\u679c\u6211\u65b9\u5b89\u6392\u8fd0\u8f93\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">7.3 <\/span><span lang=\"ZH-CN\">\u8d35\u65b9\u5fc5\u987b\u5728\u5230\u8d27\u65f6\u68c0\u9a8c\u8d27\u7269\uff0c\u5982\u679c\u8d27\u7269\u635f\u574f\uff08\u6216\u627f\u8fd0\u4eba\u5230\u671f\u672a\u4ea4\u8d27\uff09\uff0c\u8d35\u65b9\u5fc5\u987b\u5728\u5230\u8d27\u540e\u4e09\u4e2a\u5de5\u4f5c\u65e5\u5185\uff08\u6216\u9884\u8ba1\u4ea4\u8d27\u671f\uff09\u90ae\u4ef6\u901a\u77e5\u6211\u65b9\u3002\u8d35\u65b9\u5fc5\u987b\u7ed9\u6211\u4eec\uff08\u548c\u4efb\u4f55\u627f\u8fd0\u4eba\uff09\u4e00\u4e2a\u516c\u5e73\u7684\u673a\u4f1a\u68c0\u67e5\u635f\u574f\u7684\u8d27\u7269\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">\u00a0<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">\u00a0<\/span><b><span lang=\"EN-US\">8.<\/span><\/b><b><span lang=\"EN-US\"> Guarantee <\/span><\/b><b><span lang=\"ZH-CN\">\u4fdd\u8bc1<\/span><\/b><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.1 We guarantee the production and delivery of the goods,<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.1.1 Follow the description on the order confirmation; and<\/span><\/p><p><span lang=\"EN-US\">8.1.2 There are no substantial defects at the time of delivery (as long as you comply with Article 7.3, if applicable).<\/span><\/p><p><span lang=\"EN-US\">8.2 We do not make any other guarantees regarding the quality of the goods or their suitability for any purpose (not including any other implied guarantees, terms or conditions).<\/span><\/p><p><span lang=\"EN-US\">8.3 If you believe that the goods delivered by us are defective in materials or workmanship, you must:<\/span><\/p><p><span lang=\"EN-US\">8.3.1 As soon as possible (in writing by email within three working days) inform us of all the details and photos; and<\/span><\/p><p><span lang=\"EN-US\">8.3.2 Allow us to conduct investigations (we may need to visit your premises and product samples).<\/span><\/p><p><span lang=\"EN-US\">8.3.3 If the goods are found to be defective in materials or workmanship (confirmed after our investigation), and you fully comply with these conditions (Article 8.3), we will (at our option) replace the goods or refund the payment.<\/span><\/p><p><span lang=\"EN-US\">8.4 We are not responsible for any other loss or damage (including indirect or consequential loss, financial loss, loss of profit or loss of use) arising from the contract or the supply or use of goods, even if we are negligent.<\/span><\/p><p><span lang=\"EN-US\">8.5 For all other liabilities not mentioned in other parts of this contract, our liability is limited to compensation for damages to the value of the goods.<\/span><\/p><p><span lang=\"EN-US\">8.1<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u4fdd\u8bc1\u8d27\u7269\u7684\u751f\u4ea7\u548c\u4ea4\u8d27\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.1.1<\/span><span lang=\"ZH-CN\">\u9075\u5b88\u8ba2\u5355\u786e\u8ba4\u4e66\u4e0a\u7684\u63cf\u8ff0\uff1b\u4ee5\u53ca<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.1.2<\/span><span lang=\"ZH-CN\">\u4ea4\u8d27\u65f6\u4e0d\u5b58\u5728\u5b9e\u8d28\u6027\u7f3a\u9677\uff08\u53ea\u8981\u8d35\u65b9\u9075\u5b88\u7b2c<\/span><span lang=\"EN-US\">7.3<\/span><span lang=\"ZH-CN\">\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.2<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u5bf9\u8d35\u65b9\u9009\u53d6\u5e76\u4f7f\u7528\u4ea7\u54c1\u7684\u9002\u7528\u6027\u6216\u573a\u5408\u4e0d\u627f\u62c5\u4efb\u4f55\u8d23\u4efb\uff08\u4e0d\u5305\u62ec\u4efb\u4f55\u5176\u4ed6\u6697\u793a\u7684\u4fdd\u8bc1\u3001\u6761\u6b3e\u6216\u6761\u4ef6\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.3<\/span><span lang=\"ZH-CN\">\u5982\u679c\u8d35\u65b9\u8ba4\u4e3a\u6211\u65b9\u4ea4\u4ed8\u7684\u8d27\u7269\u5728\u6750\u6599\u6216\u5de5\u827a\u4e0a\u5b58\u5728\u7f3a\u9677\uff0c\u8d35\u65b9\u5fc5\u987b\uff1a<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.3.1<\/span><span lang=\"ZH-CN\">\u5c3d\u5feb\u5728<\/span><span lang=\"EN-US\">3<\/span><span lang=\"ZH-CN\">\u4e2a\u5de5\u4f5c\u65e5\u5185\uff08\u4ee5\u4e66\u9762\u5f62\u5f0f\uff09\u544a\u77e5\u6211\u65b9\u5168\u90e8\u7ec6\u8282\u548c\u7167\u7247\uff1b\u4ee5\u53ca<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.3.2<\/span><span lang=\"ZH-CN\">\u5141\u8bb8\u6211\u65b9\u8fdb\u884c\u8c03\u67e5\uff08\u6211\u65b9\u53ef\u80fd\u9700\u8981\u8bbf\u95ee\u8d35\u65b9\u7684\u573a\u6240\u548c\u4ea7\u54c1\u6837\u672c\uff09\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.3.3<\/span><span lang=\"ZH-CN\">\u5982\u679c\u53d1\u73b0\u8d27\u7269\u5728\u6750\u6599\u6216\u5de5\u827a\u4e0a\u6709\u7f3a\u9677\uff08\u7ecf\u6211\u65b9\u8c03\u67e5\u540e\u786e\u8ba4\uff09\uff0c\u5e76\u4e14\u8d35\u65b9\u5b8c\u5168\u9075\u5b88\u4e86\u8fd9\u4e9b\u6761\u4ef6\uff08\u7b2c<\/span><span lang=\"EN-US\">8.3<\/span><span lang=\"ZH-CN\">\u6761\uff09\uff0c\u6211\u65b9\u5c06\uff08\u7531\u6211\u65b9\u9009\u62e9\uff09\u66f4\u6362\u8d27\u7269\u6216\u9000\u8fd8\u8d27\u6b3e\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.4<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u4e0d\u627f\u62c5\u56e0\u5408\u540c\u6216\u8d27\u7269\u4f9b\u5e94\u6216\u4f7f\u7528\u800c\u4ea7\u751f\u7684\u4efb\u4f55\u989d\u5916\u5176\u4ed6\u635f\u5931\u6216\u635f\u5bb3\uff08\u5305\u62ec\u76f4\u63a5\u6216\u95f4\u63a5\u635f\u5931\u3001\u8d22\u52a1\u635f\u5931\u3001\u5229\u6da6\u635f\u5931\u6216\u4f7f\u7528\u635f\u5931\uff09\uff0c\u5373\u4f7f\u662f\u6211\u65b9\u5931\u8bef\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">8.5<\/span><span lang=\"ZH-CN\">\u5bf9\u4e8e\u672c\u5408\u540c\u6761\u6b3e\u5176\u4ed6\u90e8\u5206\u672a\u63d0\u53ca\u7684\u6240\u6709\u5176\u4ed6\u8d23\u4efb\uff0c\u6211\u65b9\u7684\u8d23\u4efb\u4ec5\u9650\u4e8e\u8d27\u7269\u4ef7\u503c\u7684\u635f\u5bb3\u8d54\u507f\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">\u00a0<\/span><\/p><p><b><span lang=\"EN-US\">9.<\/span><\/b><span lang=\"EN-US\"> <b>Specifications<\/b><\/span><b><span lang=\"ZH-CN\">\u8d27\u7269\u89c4\u8303<\/span><\/b><b><span lang=\"EN-US\"><\/span><\/b><\/p><p><span lang=\"EN-US\">9.1 Suppose we want to prepare the goods in accordance with your specifications or instructions. You must ensure that the specifications or instructions are accurate. You must ensure that the goods prepared in accordance with these specifications or instructions are suitable for your purpose.<\/span><\/p><p><span lang=\"EN-US\">9.2 We reserve the right to make necessary changes to the specifications of our goods to ensure that they meet any applicable safety or other legal requirements.<\/span><\/p><p><span lang=\"EN-US\">9.3 We also reserve the right to make any minor modifications to our specifications, designs or materials that we deem necessary or desirable without notice.\u00a0<\/span><\/p><p><span lang=\"EN-US\">9.1<\/span><span lang=\"ZH-CN\">\u5047\u8bbe\u6211\u4eec\u8981\u6309\u7167\u8d35\u65b9\u7684\u8d27\u7269\u89c4\u8303\u6216\u6307\u793a\u751f\u4ea7\u8d27\u7269\uff0c\u8d35\u65b9\u5fc5\u987b\u786e\u4fdd\u89c4\u8303\u6216\u6307\u793a\u662f\u51c6\u786e\u7684\u3002\u8d35\u65b9\u5fc5\u987b\u786e\u4fdd\u6309\u7167\u8fd9\u4e9b\u89c4\u683c\u6216\u8bf4\u660e\u5236\u4f5c\u7684\u8d27\u7269\u9002\u5408\u8d35\u65b9\u4f7f\u7528\u76ee\u7684\uff0c<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">9.2<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u4fdd\u7559\u5bf9\u8d27\u7269\u7684\u89c4\u8303\u548c\u6307\u793a\u8fdb\u884c\u5fc5\u8981\u66f4\u6539\u7684\u6743\u5229\uff0c\u4ee5\u786e\u4fdd\u5176\u7b26\u5408\u5b89\u5168\u6216\u5408\u6cd5\u8981\u6c42\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">9.3<\/span><span lang=\"ZH-CN\">\u6211\u65b9\u4e5f\u4fdd\u7559\u5728\u4e0d\u53e6\u884c\u901a\u77e5\u7684\u60c5\u51b5\u4e0b\u5bf9\u8d27\u7269\u7684\u89c4\u683c\u3001\u8bbe\u8ba1\u6216\u6750\u6599\u8fdb\u884c\u9002\u5f53\u548c\u5fc5\u8981\u7684\u8f7b\u5fae\u4fee\u6539\u7684\u6743\u5229\u3002<\/span><span lang=\"EN-US\"><\/span><\/p><p><span lang=\"EN-US\">\u00a0<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">\u00a0<\/span><b><span lang=\"EN-US\">10. If there is any objection, the inspection or claim procedure shall be carried out in accordance with the provisions of the No. 7 Leather International Standard Contract.<\/span><\/p><p><span lang=\"EN-US\">11.2 Size : The size of the back of the leather is in quaternion, 0.1=0.25 square feet,<\/span><\/p><p><span lang=\"EN-US\">For example, 50.1 SQ.FT=50.25SQ.FT, 50.2 SQ.FT =50.50 SQ.FT, 50.3 SQ.FT=50.75 SQ.FT<\/span><\/p><p><span lang=\"EN-US\">11.3 Genuine leather is a natural product. It is normal for the surface to have obvious growth marks, rib patterns and healing scars and other natural marks. The unmodified leather type is between the same leather or different batches of leather. Color difference and grain structure difference are normal phenomena of dermis.<\/span><\/p><p><span lang=\"EN-US\">11.4 It is forbidden to use masking paper, sticky stickers, and adhesive tapes to contact the leather surface or make marks. If the surface is damaged by humans, it is no longer in the scope of quality claims.<\/span><\/p><p><span lang=\"EN-US\">11.5 The original leather smell is a typical feature of this material. Additional requirements have to be specified by the customer before making the purchase order.<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">13.5 Results of tested characteristics are an average of results found on standard productions.<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">13.6 Our leather shall be in compliance with the ecological and environmental safety regulations of CE 1907\/2006 REACH before shipment. In case of further chemical treatments, it is the customer\u2019s responsibility to verify the chemical compatibility and that the chemicals used, do not impact on\u00a0<\/span><span lang=\"EN-US\">the conformity of the leather.<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">13.7.\u00a0Hides have to be worked maintaining an internal humidity of the hide of 10-12% and using a process temperature not higher than 60\u00b0C\/140\u00b0F to avoid any change of the hides mechanical properties and aspect.<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">13.8\u00a0We will not be responsible for missed indication checking by the customer.<\/span><\/p><p align=\"left\"><span lang=\"EN-US\">13.9\u00a0Natural growth features, colour and structure differences (uneven appearance) are indications of genuineness (visible\/clearly visible). Any formal bankruptcy proceedings (such as bankruptcy management, liquidation, management, voluntary arrangements {including deferred payment} or bankruptcy);<\/span><\/p><p><span lang=\"EN-US\">b. Any application or proposal for formal bankruptcy proceedings; or<\/span><\/p><p><span lang=\"EN-US\">c. Any overseas applications, procedures or proposals with similar effects or purposes.<\/span><\/p><p><span lang=\"EN-US\">18.5 All brochures, catalogues and other promotional materials are for illustration only. Their content does not form part of any contract between us, and you should not rely on them to enter into any contract with us.<\/span><\/p><p><span lang=\"EN-US\">18.6 No contract will create any rights that can be enforced by a person who has not been identified as the buyer or seller<\/span><\/p><p><span lang=\"EN-US\">18.7 The only statement that you can rely on when signing a contract with us is a statement made in writing by a person authorized by us and:<\/span><\/p><p><span lang=\"EN-US\">18.7.1 are included in our estimate (or any accompanying letter) and have not been cancelled before the contract is signed;
